Publishing Agreement

 

 

 

This agreement is made date, between Laura A. Bennett, referred to herein as the Publisher, of PMB #143, 1067 C St, suite 101, Galt, CA 95632, USA, and name, referred to herein as the Author(s), who is/are the creator of the manuscript (Work) submitted for publication.  The Author(s) warrants that the Author(s) is eighteen years of age or older, or is/are represented by a parent or legal guardian, of address, USA, or their heirs and assigns.  The working title of the manuscript is: title, the publication of which this agreement is entered into by the parties named herein.

 

The Author(s) will submit to the Publisher a quality Work that has been reviewed by the Author(s) for grammar, spelling and punctuation and in which indexes, art, graphics, maps, tables and any other supporting material can be easily adapted by the Publisher to the specifications of the Publisher’s Printer.  “Quality” is defined as a Work that is in a format that is ready to be published.

 

The Author(s) warrant(s) that the Work does not contain illegal, unlawful, plagiarized or objectionable material. The Publisher may decline to continue services to the Author(s) at any time and for any reason.

 

The Author(s) warrant(s) that the Author(s) is/are the Copyright owner of the Work, or has a legally binding agreement with the Copyright owner and of any artwork submitted for inclusion in the text or cover.

 

The Author(s) is/are the owner(s) of Copyrights of the Work, any artwork submitted for inclusion in the text or cover design and any corrections requested during the publication process.  The Publisher is the exclusive owner of the publishing rights for the duration of this agreement. 

 

As desired, the Author(s) may purchase copy editing services made available by the Publisher.  The Publisher does not have editorial control of the Work.  The Author(s) will have final responsibility for the content of the Work, including the quality and correctness of the text and accompanying photographs, images, illustrations or artwork.

 

The Author(s) understand(s) and agree(s) that if there is more than one Author of the submitted material, all of the Authors must enter into this Agreement, and communication regarding matters pertaining to the publication of the Work will be with all unless otherwise agreed to. 

 

The Publisher will format the Work, the Work’s cover and any illustrations to meet the Publisher’s Printer’s specifications.  Books are published in varying sizes; soft cover books are printed in inches as follows: 5x8, 5.5x8.5, 6x9, 10.25x7.5 and 8.5x11.  Hard cover books, with dust jackets, measure 5.5x8.5 or 6x9.  Due to print-on-demand technology, the Author(s) understands that in Work printed at different times, cover color and other illustrations may not exactly match previously printed copies. The Author(s) agree(s) that the Author(s) may not use the formatted Work and cover with any other publisher.

 

While the Publisher cannot guarantee sales of the Work and is not liable for sales that do not meet the Author’s(s’) expectations, the Publisher will make purchase of the Work available through brick-and-mortar stores, on-line book sellers and will accept book orders placed directly on the Publisher’s web site.

 

The Author(s) may set the price for the purchase of the Work by the public; unless otherwise agreed, the list price must cover the costs of printing and allow a 40% discount to distributors, who sell to bookstores and on the Internet.  The difference between these amounts and the list price will be split 50/50 between the Author(s) and the Publisher, excluding copies received at a discount from the Publisher. 

 

Sales reports will be sent quarterly to each author on an individual basis.  Royalty payments to an author or composer for each copy of a work sold or to an inventor for each item sold under a patent will be paid to the Author(s) in the quarter following the sales report unless otherwise agreed. 

 

No books sold are returnable for refund. 

 

The Work is registered by the Publisher with RR Bowker, the official U.S. agency for assigning ISBNs (International Standard Book Number).

 

Exclusive cover design and custom illustrations are available.  If the Publisher creates the cover, rights to the cover design and any art work used in the cover are retained by the Publisher.  Proofreading is limited to grammar, punctuation and spelling.  Editing includes proofreading and review of content and style.  Ghostwriting services are also available. 

 

Unless otherwise agreed, and at the Publisher’s discretion, all communication between the Author(s) and the Publisher will be via email, which is agreed to be complete and proper legal notice from one to the other.  For purposes of publishing this Work, the Author(s) and the Publisher will maintain valid email addresses.

 

Should the Publisher fail to perform to the terms of this Agreement, the Agreement will be void six months after Notice of Failure to the Publisher by the Author(s).  The Publisher will then withdraw the Work from print.

 

This Agreement is the total Agreement between the Author(s) and the Publisher, or the Publisher’s heirs, assigns and/or successors, and is executed via email.  The Publisher will send to the Author(s), as an email attachment, a completed Agreement.  The Author(s) will acknowledge acceptance by returning the same email to the Publisher, with the Agreement still attached.
